1. Acceptance of Terms

By accessing or using Musicians Friend AI ("Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use our Service.

By creating an account or making a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Service Description

Musicians Friend AI provides:

• Audio-to-sheet-music transcription services
• AI-powered music generation from text descriptions
• Manual note entry and sheet music creation
• PDF export of generated sheet music

The accuracy of transcriptions depends on audio quality and complexity. Results may vary.

3. User Accounts

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access
• One account per person; sharing accounts is prohibited
• We reserve the right to terminate accounts that violate these terms

4. Subscription Plans & Billing

Our Premium subscription is billed at $29.99/month, charged as $89.97 every 3 months.

• Subscriptions automatically renew unless cancelled
• You may cancel at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• We reserve the right to modify pricing with 30 days notice

5. No Refund Policy

• No refunds will be issued for any subscription payments
• No partial refunds for unused portions of subscription periods
• No refunds for trial-to-paid conversions
• No refunds for unsatisfactory transcription results
• Chargebacks may result in immediate account termination

We encourage you to use our free trial (3 transcriptions) to evaluate the service before purchasing a subscription.

6. Free Trial

• New users receive 3 free trial transcriptions
• Trial transcriptions produce limited demo output (2 measures)
• Trial is intended for evaluation purposes only
• One trial per person; creating multiple accounts for additional trials is prohibited

7. Storage Space & Account Security

Storage space is provided for saving your sheet music, audio files, and cover images.

• All accounts receive 50 MB of free storage
• Additional storage can be purchased as one-time, non-refundable upgrades
• Storage is tied to your unique username and protected by your account password
• You are solely responsible for maintaining the confidentiality of your login credentials
• We employ industry-standard security measures but cannot guarantee absolute security
• You must use a strong, unique password for your account
• We are not liable for unauthorized access resulting from compromised credentials
• Stored content must comply with all applicable laws and our Acceptable Use policy
• We reserve the right to delete content that violates our terms without notice
• Storage purchases are non-transferable between accounts

• Identity Verification: You are responsible for verifying your identity when accessing your account
• Fraudulent Activity: Any attempt to fraudulently access accounts, manipulate storage, or circumvent security will result in immediate account termination and may be reported to law enforcement
• No Liability for Fraud: We are not liable for any losses resulting from unauthorized access to your account if you failed to protect your credentials
• Data Backup: You are responsible for maintaining backups of your important files; we are not liable for data loss
• Third-Party Access: Sharing your credentials with third parties is at your own risk
• Phishing Awareness: We will never ask for your password via email; report suspicious communications immediately
• Limited Liability: Our liability for storage-related issues is limited to the amount paid for storage in the preceding 12 months

8. Acceptable Use

You agree NOT to:

• Use profane, obscene, or offensive language in any content you submit
• Upload copyrighted audio without proper authorization
• Use the service for illegal purposes
• Attempt to reverse-engineer or exploit the service
• Share your account credentials with others
• Use automated tools to access the service
• Interfere with or disrupt the service

9. Intellectual Property

• You retain ownership of audio files you upload
• Sheet music generated from your audio belongs to you
• The service, software, and branding remain our property
• You may not redistribute or resell the service

10. Artist Upload Agreement & License Grant

License Grant to Musicians Friend AI:

By uploading, publishing, or making any content available through Musicians Friend AI (collectively "User Content"), you hereby grant to Musicians Friend AI, its successors, and assigns:

• A worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and sell your User Content
• The right to sublicense these rights to third parties, affiliates, and partners
• The right to use your name, likeness, and biographical information in connection with your User Content for promotional purposes
• The right to monetize your User Content through any means, including but not limited to: direct sales, licensing, streaming, synchronization, and advertising

• No Royalty Payments: You are NOT entitled to any royalty payments, residuals, or ongoing compensation for any use of your User Content by Musicians Friend AI
• No Revenue Sharing: Musicians Friend AI is under no obligation to share any revenue, profits, or proceeds generated from your User Content
• No Affiliation Payments: You will not receive payments based on views, plays, downloads, sales, or any metric related to your User Content
• No Future Claims: You waive any future claims to compensation for uses of your User Content authorized under this Agreement
• Consideration: Your consideration for this license is the ability to use the Musicians Friend AI platform and its services

Your Representations & Warranties:

By uploading User Content, you represent and warrant that:

• You are the sole creator and owner of the User Content, OR you have obtained all necessary rights, licenses, and permissions to grant the licenses in this Agreement
• Your User Content does not infringe upon any third-party copyrights, trademarks, or other intellectual property rights
• You have the authority to enter into this Agreement and grant these rights
• No other party has any claims, liens, or encumbrances on your User Content that would prevent you from granting these rights
• Your User Content does not violate any law, regulation, or third-party rights
• If your User Content contains contributions from other individuals, you have obtained their written consent to grant these rights

Indemnification:

• You agree to indemnify, defend, and hold harmless Musicians Friend AI, its owners, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:
  • Your breach of any representation or warranty in this Agreement
  • Any claim that your User Content infringes third-party rights
  • Your violation of any applicable laws or regulations

Moral Rights Waiver:

• To the extent permitted by law, you waive any "moral rights" or equivalent rights (such as the right of attribution or integrity) in your User Content
• You agree that Musicians Friend AI may modify, edit, or create derivative works from your User Content without attribution or approval

Termination of License:

• This license is perpetual and survives termination of your account
• Content already distributed, sold, or licensed prior to deletion cannot be recalled
• You may request deletion of your unpublished content from our servers, but this does not affect rights already granted

11. Creator's Work & Copyright Disclaimer

By using Musicians Friend AI, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions for any audio you upload
• Your use of the service does not infringe upon any third-party copyrights, trademarks, or intellectual property rights
• You have the right to create derivative works (such as sheet music) from the audio content
• Any music you share publicly does not violate copyright laws
• You will not use the service to reproduce, distribute, or create sheet music from copyrighted works without authorization

Original Works:

• Sheet music generated from your original compositions belongs to you
• You grant Musicians Friend AI a limited license to process your content solely for service delivery
• We do not claim ownership of your original creative works
• You may freely use, sell, or distribute sheet music created from your original content

Third-Party Content:

• Transcribing copyrighted music without permission may constitute copyright infringement
• You are responsible for obtaining proper licenses (mechanical, synchronization, etc.) if required
• Public domain works may be freely transcribed and used
• Fair use exceptions may apply in limited educational contexts (consult legal counsel)

• No Liability: We are NOT liable for any copyright infringement claims arising from your use of this service
• No Verification: We do not verify the copyright status of uploaded content
• User Indemnification: You agree to indemnify, defend, and hold harmless Musicians Friend AI, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including attorney fees) arising from your violation of copyright laws
• DMCA Compliance: We will respond to valid DMCA takedown notices and remove infringing content
• Account Termination: Repeat copyright infringers will have their accounts terminated
• Legal Costs: You are responsible for all legal costs if your content results in copyright litigation

12. General Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

• We do not guarantee 100% accurate transcriptions
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 3 months
• We are not responsible for data loss due to service interruptions

13. Service Availability

• We strive for 99.9% uptime but do not guarantee it
• Scheduled maintenance will be announced when possible
• We reserve the right to modify or discontinue features

14. Termination

We may suspend or terminate your account if you:

• Violate these Terms and Conditions
• Engage in fraudulent activity
• Initiate chargebacks without valid cause
• Abuse the service or other users

15. Changes to Terms

We may update these Terms at any time. Continued use of the service after changes constitutes acceptance of the new Terms. Significant changes will be communicated via email.

16. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.

• Affiliate links are clearly marked or disclosed on our website
• We only recommend products we believe provide value to musicians
• Your purchase price is not affected by using our affiliate links
• We are not responsible for third-party products, services, or websites
• Third-party sites have their own terms, privacy policies, and return policies
• We do not control pricing, availability, or shipping of affiliate products

• Product quality, defects, or performance of third-party products
• Shipping delays, lost packages, or delivery issues
• Refunds, returns, or exchanges with affiliate merchants
• Changes in pricing or product availability
• Data collection practices of third-party websites
• Any damages arising from purchases made through affiliate links

By using affiliate links, you acknowledge that your transaction is with the third-party merchant, not Musicians Friend AI. All disputes must be resolved directly with the merchant.

19. Digital Watermarks & Content Identification

By using this service, you acknowledge and agree that:

• All PDF sheet music files contain visible and hidden watermarks
• Watermarks include unique identifiers linked to your account
• Metadata is embedded in all generated files identifying Musicians Friend AI as the creation tool
• Watermarks are designed for content traceability and copyright enforcement

Watermark Content:

• A small visible footer identifying the file as created with Musicians Friend AI
• A unique watermark ID for file tracing and verification
• Hidden metadata in PDF properties identifying the source

Prohibitions:

• No Removal: You agree NOT to remove, alter, obscure, or tamper with any watermarks
• No Circumvention: Attempting to circumvent or disable watermarking systems is prohibited
• No Tools: Using third-party tools to strip watermarks violates these Terms

• Watermarks do not constitute proof of copyright ownership
• Watermarks do not transfer any intellectual property rights
• We are not liable for any claims based solely on watermark identification
• Watermarks may be used to trace files in copyright disputes but are not legal proof
• You remain solely responsible for establishing and defending your copyright claims

20. Third-Party Trademarks

All third-party trademarks, service marks, and logos mentioned on this website are the property of their respective owners. Musicians Friend AI is not affiliated with, endorsed by, or sponsored by:
